Article 1 — Definitions
CortLogic: the sole proprietorship CortLogic, Chamber of Commerce no. 42148916, established in Purmerend, the Netherlands. Customer: the business entering into a subscription to the platform. Platform: the CORTLOGIC software service, including its dashboards, analyses and the TrendPulse Score (TPS). Subscription: the right to access the platform for a paid term. Term: the period of one month or twelve months paid for in advance. Direct channel: entering into a subscription via the CortLogic website. Customer profile: the management area within the platform where the customer manages the subscription.
Article 2 — Applicability
2.1 These terms apply to every subscription entered into via the direct channel and to all resulting use of the platform.
2.2 The applicability of the customer's purchasing or other terms is expressly rejected.
2.3 Deviations apply only if agreed in writing.
Article 3 — Business customers only
3.1 The platform is offered to businesses only. On signing up, the customer confirms that it is acting in the course of a profession or business.
3.2 As the customer is not a consumer, consumer rights do not apply. This applies in particular to the statutory right of withdrawal with a fourteen-day cooling-off period, which expressly does not apply.
3.3 CortLogic may refuse a sign-up or terminate the subscription if it appears that the customer is not acting in the course of a profession or business.
Article 4 — Formation and access
4.1 The subscription is formed when the first payment is completed.
4.2 After payment, the customer completes the onboarding, providing the information required to configure the platform for its business. The customer is responsible for the accuracy of that information.
4.3 The customer is responsible for keeping its login credentials confidential and for all use made through its account.
Article 5 — Subscription and price
5.1 The subscription costs EUR 149 per month or EUR 1,490 per year. On the annual subscription, the customer pays for twelve months at the price of ten.
5.2 All amounts are in euros and exclusive of VAT.
5.3 The subscription is paid in advance for the full term.
5.4 At the end of each term the subscription renews automatically for a further term of the same length, until the customer cancels.
5.5 Any currency conversion or international payment charges are borne by the customer.
Article 6 — Switching between monthly and annual
6.1 The customer may switch between the monthly and annual subscription via the customer profile.
6.2 The change takes effect on the end date of the current term. No interim settlement takes place.
Article 7 — Payment
7.1 The first payment is made by iDEAL | Wero, Bancontact, credit or debit card, or a card-based method such as Apple Pay or Link.
7.2 Renewals are collected by SEPA direct debit or from the card provided by the customer. By entering into the subscription, the customer authorises CortLogic to collect the amount due automatically for each term.
7.3 Payments are processed by Stripe. CortLogic does not itself receive or store full card or bank account details.
7.4 If a payment fails, the customer has seven days to pay. If payment is not made within that period, access to the platform is suspended. If repeated payment attempts also fail, the subscription ends.
7.5 Suspension of access does not release the customer from its obligation to pay for the current term.
Article 8 — Chargebacks
8.1 In the event of a reversal or chargeback, CortLogic may suspend access to the platform until payment has been made.
8.2 Costs incurred by CortLogic in connection with a chargeback may be charged to the customer.
Article 9 — Cancellation
9.1 The customer may cancel the subscription at any time via the customer profile. No notice period applies.
9.2 After cancellation, the paid term runs to its end and the subscription is not renewed. The customer retains access to the platform until the end date.
9.3 No refunds are given and no pro-rata settlement is made. This also applies to an annual subscription cancelled part-way through.
9.4 CortLogic may terminate the subscription in the event of a material breach by the customer, including non-payment or use contrary to Article 12.
Article 10 — Data after termination
10.1 After the subscription ends, the customer's data is retained for seven days. During that period access to the platform is blocked; the customer can still log in to the customer profile.
10.2 If the customer wishes to return within those seven days, it may contact support@cortlogic.com. CortLogic will then review the available options together with the customer.
10.3 After those seven days, all data traceable to the customer is deleted automatically and irreversibly. This includes the account, the competitors and settings entered, and all results and history collected and calculated for the customer.
10.3a By way of exception to 10.3, the data of a customer with a webshop on Shopify who became a direct customer before the launch of the application in the Shopify App Store is not deleted automatically after those seven days. CortLogic retains that data until the transition referred to in Article 11 has been arranged or the customer decides against it, and deletes it thereafter. The customer may request deletion at any time.
10.4 The customer is responsible for securing in good time any data it wishes to keep.
10.5 Invoices and payment records are retained for as long as statutory tax retention obligations require. Anonymised market information at sector and country level, which is not traceable to the customer, continues to exist.
Article 11 — Shopify webshops
11.1 CortLogic is releasing an application in the Shopify App Store. Customers with a webshop on Shopify who enter into a subscription directly before that application launches will move to billing via Shopify after the launch.
11.2 The transition takes effect on the end date of the term current at that time. CortLogic will inform the customer in good time of the transition date and of what is required from the customer.
11.3 If the customer does not transition, the subscription ends at the end of the paid term.
11.4 In this Article CortLogic makes no commitment regarding the retention of settings, results or history on transition. The customer will be informed once this has been determined.
Article 12 — Use of the platform
12.1 The customer uses the platform solely for its own business.
12.2 The customer may not resell, rent out, publish or make available to third parties the platform or the data obtained from it, other than within its own business.
12.3 The customer may not read out, copy or reproduce the platform by automated means, nor circumvent security measures.
Article 13 — Intellectual property
13.1 All rights to the platform, the underlying software, the methodology and the TrendPulse Score rest with CortLogic.
13.2 All rights to the market information CortLogic builds up at sector and country level rest with CortLogic, including after a subscription ends.
13.3 Data supplied by the customer remains the customer's. The customer grants CortLogic the right to use that data to the extent necessary to provide the service.
13.4 For the duration of the subscription the customer receives a non-transferable right to use the platform.
Article 14 — Nature of the service and liability
14.1 The platform provides analyses, signals and predictions based on public data and data supplied by the customer. These are inherently uncertain. CortLogic does not guarantee that any signal, score or prediction is correct or will materialise.
14.2 The customer makes its own business decisions. The outputs of the platform are informational and do not constitute advice.
14.3 CortLogic will use reasonable efforts to keep the platform available but does not guarantee uninterrupted availability. Maintenance, supplier outages and changes at external sources may temporarily affect availability or the completeness of data.
14.4 CortLogic's liability is limited, per event and per year, to the amount paid by the customer for the subscription in the twelve months preceding the event.
14.5 CortLogic is not liable for indirect loss, including lost profits, lost savings, loss of data and loss due to business interruption.
14.6 The limitations in this Article do not apply in the event of intent or wilful recklessness on the part of CortLogic.
Article 15 — Support
15.1 Support is provided through the support function in the platform and via support@cortlogic.com.
15.2 CortLogic aims to respond within eight hours and will respond within twenty-four hours at the latest. This is a best-efforts commitment and not a guaranteed response time.
Article 16 — VAT
16.1 Within the European Union, VAT is reverse-charged if the customer provides a valid VAT identification number. The customer is responsible for its accuracy and must report any change without delay.
16.2 If a VAT number provided proves to be incorrect or invalid, CortLogic may charge the VAT due after the fact.
16.3 Outside the European Union, VAT is handled in accordance with the rules applicable there.
Article 17 — Price changes
17.1 CortLogic may change its prices. Any change is announced at least thirty days in advance.
17.2 The changed price takes effect from the next term. The customer may cancel before that date in accordance with Article 9.
Article 18 — Changes to these terms
18.1 CortLogic may amend these terms. Amendments are announced at least thirty days in advance and take effect from the next term.
18.2 If the customer does not agree with an amendment, it may cancel before that date in accordance with Article 9.
Article 19 — Personal data
19.1 The processing of personal data is described in CortLogic's privacy statement, available at cortlogic.com.
Article 20 — Force majeure
20.1 CortLogic is not obliged to perform where performance is prevented by circumstances beyond its control, including supplier outages, failure of external data sources, network or hosting failures and governmental measures.

21.2 Disputes are submitted to the competent court in the district in which CortLogic is established.
